Terms & Conditions

1. Definitions

"Order" means a written or electronic instruction from the Client to supply Services. "Artwork" means any digital files, images or copy provided by the Client. "Proof" means a digital or physical sample produced for Client approval prior to production. "Delivery Date" means the estimated despatch or delivery date agreed at the time of Order.

2. Orders and acceptance

All orders are subject to written acceptance by Fretwell. An Order is only confirmed once you have received a written acknowledgement from us. We reserve the right to decline any Order without giving a reason. Quotations are valid for 30 days and are subject to change if the scope, quantity or specification alters.

3. Artwork and files

The Client is responsible for supplying print-ready artwork in the format specified by Fretwell.

• Artwork must be supplied at 300 dpi at final print size, with a minimum 3 mm bleed and all fonts embedded.
• We accept no liability for errors in colour, text, layout or resolution that are present in supplied files.
• We may carry out minor technical adjustments (e.g. colour conversion) at our discretion; material changes will be agreed with you first.

4. Proofing

Where a proof is requested or required, production will not commence until written approval is received from the Client.

• Fretwell accepts no responsibility for errors that are approved by the Client at the proof stage.
• On-screen proofs do not guarantee exact colour reproduction on press.
• Hard-copy colour proofs are available on request and may be subject to a charge.
• Any amendments requested at proof stage may result in additional charges and revised delivery dates.

5. Prices and payment

All prices are quoted exclusive of VAT unless stated otherwise. VAT will be charged at the prevailing rate. Payment terms are 30 days from date of invoice unless otherwise agreed in writing. Fretwell reserves the right to charge interest on overdue accounts at 8% above the Bank of England base rate per annum, calculated daily. We reserve the right to suspend or cancel outstanding orders where payment is overdue.

6. Delivery

Delivery dates are estimates only and are not guaranteed unless expressly confirmed in writing as a fixed date. Fretwell will not be liable for any loss or damage caused by late delivery. Risk in goods passes to the Client upon delivery. Title in goods passes to the Client upon receipt of full payment. Delivery charges are additional to the quoted price unless stated.

7. Quantity tolerance

Due to the nature of print production, Fretwell reserves the right to deliver and invoice up to 5% more or fewer items than the ordered quantity. You will be charged accordingly for the actual quantity delivered.

8. Cancellations and alterations

Once an Order has been confirmed, cancellation or material alteration is subject to the following conditions:

• Cancellation may only be accepted by Fretwell at its discretion.
• A cancellation charge may apply, reflecting work already carried out and materials committed.
• Cancellation must be made in writing.

9. Complaints and returns

Any complaint regarding quality or specification must be made in writing within 7 days of delivery. No goods may be returned without Fretwell's prior written consent. We will not accept liability for defects caused by incorrect artwork, Client-approved proofs, or damage in transit where the carrier is not appointed by us.

10. Intellectual property

The Client warrants that all Artwork and content supplied to Fretwell is free from third-party intellectual property rights that would prevent reproduction.

• The Client indemnifies Fretwell against any claims, losses or damages arising from a breach of this warranty.
• Fretwell retains ownership of all tooling, plates, films and design work created by us unless otherwise agreed in writing.

11. Data and mailing lists

Where Fretwell processes personal data on behalf of the Client (e.g. for direct mail addressing), the following obligations apply:

• The Client warrants that it has the lawful basis to use that data and has complied with all applicable data protection legislation, including the UK GDPR.
• Fretwell will process such data only for the purpose of fulfilling the Order and in accordance with our Data Processing Agreement.
• Mailing lists and data files supplied remain the property of the Client.

12. Limitation of liability

Fretwell's liability is limited as follows:

• Our total liability to the Client in respect of any Order shall not exceed the value invoiced for that Order.
• We shall not be liable for any indirect, consequential or special loss including loss of profit, loss of data or loss of business opportunity.
• Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or any other liability that cannot be excluded by law.

13. Force majeure

Fretwell shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to industrial action, supply chain disruption, fire, flood or pandemic.

14. Governing law

These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Amendments

Fretwell reserves the right to update these Terms and Conditions at any time. The version in force at the time of your Order will apply. The current version is always available on our website.
